Agreement

This Supplier Agreement (“Agreement”) governs the commercial relationship between FoodieHub W.L.L. (“FoodieHub” or the “Platform”) and each Supplier registered and approved on the FoodieHub Platform (“Supplier”).

By registering on FoodieHub and electronically accepting this Agreement, the Supplier confirms that it has read, understood and agreed to be bound by its terms.

1. Purpose

FoodieHub operates a digital B2B marketplace connecting restaurants and other approved business buyers with suppliers.

2. Platform Role

FoodieHub acts solely as a marketplace and technology intermediary and is not the buyer, seller, or party to transactions between the Restaurant and Supplier.

3. Commercial Model

No registration or subscription fees apply to the Supplier.

FoodieHub charges commission on Purchase Orders accepted by the Supplier through the Platform.

4. Commission & Introductory Offer

An introductory 0% commission offer for the first three accepted Purchase Orders applies only if it is expressly included in the Supplier’s agreed commercial terms.

The Supplier’s applicable commission rate shall be individually communicated to and accepted by the Supplier before it applies. No general or minimum commission rate is implied by this Agreement.

The agreed rate and any introductory offer shall be recorded on the Platform or in another written electronic record accessible to the Supplier.

Commission for each calendar month is calculated by applying the Supplier’s agreed rate to the sum of the final total amounts of Purchase Orders accepted by the Supplier during that month, as recorded on the Platform. Each final order total includes any VAT on the goods and other charges included in that Purchase Order.

Commission becomes due when the Supplier accepts a Purchase Order through the Platform and is not conditional on delivery, receipt of goods or payment by the Restaurant. Subsequent non-delivery, non-payment or cancellation does not automatically reverse the commission. Any change to the agreed rate requires advance notice and the Supplier’s acceptance, and does not apply retrospectively to previously accepted Purchase Orders.

5. Billing & Payment Terms

FoodieHub shall issue a monthly invoice showing:

The numbers and final total amounts of Purchase Orders accepted during the relevant calendar month.

The aggregate final value of those accepted Purchase Orders and the Supplier’s agreed commission rate.

The total commission payable and, if applicable, the VAT component of FoodieHub’s commission.

The commission amount calculated under this Agreement is inclusive of any VAT chargeable by FoodieHub on its commission service, if applicable. FoodieHub will show the VAT component separately on its tax invoice when required. The Supplier agrees to settle FoodieHub’s monthly invoice within 10 calendar days from the invoice date.

In case of non-payment or delay, FoodieHub may:

Suspend the Supplier account.

Restrict access to new RFQs.

Take reasonable administrative action to recover outstanding amounts.

FoodieHub system records shall be considered valid transaction records, subject to correction of proven errors.

6. Term & Renewal

This Agreement is valid for one year and shall automatically renew unless terminated by either party with at least 30 days’ written notice.

Any outstanding commission or other amounts due before termination shall remain payable.

7. Platform Transactions & Non-Circumvention

All RFQs, quotations, Purchase Orders, order-related communications and transaction records originating through FoodieHub must be managed and recorded through the Platform using the available functions. Invoices and receipts must be uploaded or recorded there where the relevant function is available.

The Supplier shall not move FoodieHub-originated business outside the Platform or deal outside FoodieHub with Restaurants introduced through the Platform for the purpose of bypassing FoodieHub or avoiding applicable commission or fees.

Payment for goods shall be made directly between the Restaurant and Supplier. Where available, payment status and proof of payment must be recorded through FoodieHub.

This obligation applies during the Agreement and for 12 months following its termination in relation to business relationships introduced through FoodieHub.

8. Supplier Obligations

The Supplier agrees to:

Provide accurate pricing and commercial information.

Respond to RFQs professionally and on time.

Maintain required product quality and legal compliance.

Fulfil accepted Purchase Orders according to agreed terms.

Keep relevant transactions and communications recorded through FoodieHub.

9. Platform Rights

FoodieHub may suspend or restrict a Supplier account in cases of misuse, fraud, repeated non-performance, unpaid FoodieHub fees, violation of this Agreement, or conduct that may harm the Platform or its users.

10. Data & Platform Records

FoodieHub owns the Platform, system, database structure and Platform-generated records.

The Supplier retains ownership of its own business information, trademarks and content, subject to FoodieHub’s right to process and display such information as necessary to operate the Platform.

11. Liability & Restaurant Payments

FoodieHub is not responsible for product quality, delivery, fulfilment or disputes between the Supplier and Restaurant.

Payments for supplied goods are the sole responsibility of the Restaurant and Supplier.

FoodieHub does not guarantee, collect, insure or assume responsibility for Restaurant payments and shall not be liable for late payment, non-payment, credit default or collection of amounts owed by a Restaurant to the Supplier.

12. Confidentiality

Both parties shall keep confidential any non-public commercial, business and Platform information received in connection with this Agreement.

13. Governing Law

This Agreement shall be governed by the laws of the Kingdom of Bahrain, and any dispute shall be subject to the jurisdiction of the competent courts of Bahrain.

14. Electronic Acceptance

By registering on FoodieHub and selecting “I agree to the Terms & Conditions and Supplier Agreement”, the Supplier confirms that it has read, understood and accepted this Agreement.

FoodieHub may retain the date, time, account details and applicable Agreement version as evidence of electronic acceptance.
