Restaurant Terms & Conditions

FOODIEHUB – RESTAURANT TERMS & CONDITIONS

1. Acceptance and Scope

These Terms & Conditions govern the use of the FoodieHub platform (“FoodieHub” or the “Platform”) by restaurants, cafés, hotels and other registered business buyers (the “Restaurant” or “Buyer”).

By selecting the acceptance checkbox and submitting its registration, the Restaurant confirms that it has read and agrees to these Terms & Conditions. The person registering on behalf of the Restaurant confirms that they are authorised to do so.

2. Registration and Account

The Restaurant must provide accurate and current business and contact information and maintain any commercial registration and licences required for its activities.

The Restaurant is responsible for its account credentials, its authorised users and actions carried out through its account. It must notify FoodieHub promptly if it becomes aware of unauthorised account access.

FoodieHub may verify registration information and may reject or suspend an account if the information provided is false or misleading.

3. Free Trial and Subscription

Access to a free trial, where offered, is subject to FoodieHub’s approval. The duration and features of the trial will be shown to the Restaurant when the trial is offered.

The price, duration and applicable features of a paid subscription will be shown before the Restaurant makes payment. A paid subscription becomes active only after successful payment confirmation through FoodieHub’s approved payment gateway. An attempted, cancelled or unsuccessful payment does not activate the subscription.

FoodieHub may restrict access to Platform functions when a trial or subscription expires or a subscription payment remains outstanding. Subscription fees paid to FoodieHub are non-refundable unless otherwise stated in the applicable offer or required by law.

4. FoodieHub’s Role

FoodieHub provides a B2B system for Restaurants and independent Suppliers to manage sourcing and purchasing activities. FoodieHub is not the seller, distributor or owner of the goods offered by Suppliers.

The sale and supply of goods take place directly between the Restaurant and the selected Supplier. FoodieHub does not guarantee a Supplier’s prices, product quality, availability, delivery or performance.

5. Requests for Quotation and Supplier Bids

The Restaurant may submit requests for quotation (“RFQs”) stating the products, quantities, units, specifications and other requirements it needs. The Restaurant is responsible for reviewing the accuracy of this information before submission.

Suppliers submit their bids independently. The Restaurant is responsible for reviewing each bid, including its prices, VAT, delivery terms, payment terms and any Supplier notes, before selecting a Supplier.

Any comparison, ranking or evaluation displayed by the Platform is a decision-support feature. The final choice of Supplier remains with the Restaurant.

6. Purchase Orders and Supplier Response

Before issuing a purchase order (“PO”), the Restaurant must review its products, quantities, units, prices, VAT, delivery details and payment terms.

The Restaurant issues the PO through the Platform, and the Supplier may accept or decline it through the Platform. Once the Supplier accepts the PO, the resulting sale and supply obligations are between the Restaurant and that Supplier, subject to the terms of the accepted PO and applicable law.

FoodieHub provides the system used to record and communicate these steps but is not a party to the sale of the goods.

7. Payment for Goods

Payment for goods is arranged and made directly between the Restaurant and the Supplier according to their agreed payment terms. FoodieHub does not collect, hold or transfer payment for those goods and does not guarantee either party’s payment obligations.

The Restaurant is responsible for paying the Supplier for goods purchased. FoodieHub is not responsible for a Restaurant’s late payment or non-payment, or for collecting a debt owed to a Supplier.

Subscription fees or other fees payable to FoodieHub are separate from amounts owed by the Restaurant to Suppliers.

8. Invoices, Receipts and Taxes

The Supplier is responsible for issuing invoices for the goods it supplies where required. The Restaurant and Supplier may upload invoices, receipts or proof of payment to the Platform where the relevant function is available.

Uploading a document or recording a payment status on the Platform does not mean that FoodieHub has received, verified or guaranteed payment for the goods.

Each party remains responsible for its own accounting records, VAT and other tax obligations.

9. Delivery and Commercial Disputes

The Supplier is responsible for fulfilling an accepted PO according to its agreed terms. The Restaurant is responsible for checking the goods received and recording receipt or any discrepancy through the Platform where the relevant function is available.

Questions or disputes about product quality, quantity, delivery, replacement, invoices or payment are matters between the Restaurant and Supplier. FoodieHub may provide available Platform records or assist communication, but it is not responsible for supplying replacement goods, paying either party or settling their commercial claims.

10. Use of the Platform and Communications

RFQs, bids, supplier selection, POs, responses to POs and order-related communications must be carried out and recorded through FoodieHub using the functions available for those purposes. Email notifications may alert users to activity, but the relevant action and record should remain on the Platform.

The Restaurant must not use private calls, messages, email or other channels to bypass the Platform for transactions that originated through FoodieHub. This does not prevent the Restaurant from paying the Supplier directly outside the Platform, as described in Section 7.

The Restaurant must not manipulate bids, misuse Supplier information, access another user’s account or otherwise misuse the Platform.

11. Confidentiality and Data

The Restaurant must use Supplier bids, prices and other non-public information obtained through FoodieHub only for legitimate purchasing purposes and must not disclose them improperly.

FoodieHub will handle personal information in accordance with its Privacy Policy and applicable data protection requirements. The Privacy Policy is available separately on the Platform.

12. Suspension and Termination

FoodieHub may suspend or terminate access for non-payment of Platform fees, false registration information, fraud, misuse, illegal activity, security risks or a material breach of these Terms.

Suspension or termination of a Platform account does not cancel payment or delivery obligations that already exist between the Restaurant and a Supplier under an accepted PO.

13. Platform Availability and Limits of Liability

FoodieHub will take reasonable steps to operate the Platform but does not guarantee uninterrupted or error-free availability.

To the maximum extent permitted by applicable law, FoodieHub is not liable for a Supplier’s failure to deliver or for a Restaurant’s failure to pay, or for product defects, delivery disputes, indirect losses or lost profits arising from transactions between Restaurants and Suppliers.

Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law.

14. Electronic Records and Governing Law

FoodieHub may record the Restaurant’s electronic acceptance of these Terms and activities carried out through its account, including RFQs, bids, POs, responses and order-related communications.

These Terms are governed by the laws of the Kingdom of Bahrain. Disputes concerning the Restaurant’s use of the Platform are subject to the competent courts of Bahrain.
