Terms & Conditions

1. Introduction

These Terms & Conditions ("Agreement") govern the registration and use of the B2B platform (“Platform”) by restaurants (“Restaurant”, “Partner”, “You”).

By registering on the Platform, you agree to comply with and be legally bound by these Terms.

2. Eligibility

To register as a Restaurant Partner, you must:

  • Be a legally registered business entity.

  • Hold a valid Commercial Registration (CR).

  • Comply with all applicable food safety and business regulations.

  • Provide accurate and complete business information.

The Platform reserves the right to verify all submitted information.

3. Account Registration

  • The Restaurant must provide accurate business, contact, and billing details.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • Any activity under your account is your responsibility.

  • The Platform may suspend or terminate accounts providing false information.

4. Subscription & Fees

  • Access to the Platform may require a monthly or yearly subscription plan.

  • Subscription fees are payable in advance and are non-refundable unless stated otherwise.

  • The Platform reserves the right to modify pricing with prior notice.

  • Failure to pay subscription fees may result in account suspension.

5. Use of the Platform

The Restaurant agrees to:

  • Use the Platform solely for lawful B2B purposes.

  • Respond to bids/orders in a professional and timely manner.

  • Provide accurate pricing, availability, and service details.

  • Not misuse the Platform to manipulate bids or mislead buyers.

The Platform may monitor activity to ensure compliance.

6. Orders & Bidding

  • Restaurants may receive bid requests from registered buyers.

  • Submission of a bid constitutes a binding commercial offer.

  • The Platform is not responsible for fulfillment disputes between parties.

  • Restaurants are fully responsible for honoring confirmed agreements.

7. Payments Between Parties

  • The Platform may facilitate communication but is not a party to transactions between Restaurants and Buyers unless explicitly stated.

  • Restaurants are responsible for invoicing, VAT compliance, and financial reporting.

  • Any payment disputes must be resolved directly between the involved parties.

8. Compliance & Food Safety

Restaurants must:

  • Comply with all health, safety, and food regulations.

  • Maintain required business licenses.

  • Ensure product quality and legal compliance at all times.

Failure to comply may result in immediate suspension.

9. Intellectual Property

  • Restaurants retain ownership of their logos, menus, and content.

  • By uploading content, you grant the Platform a non-exclusive license to display it for promotional and operational purposes.

10. Limitation of Liability

The Platform shall not be liable for:

  • Business losses, lost profits, or indirect damages.

  • Disputes between Restaurants and Buyers.

  • Service interruptions beyond reasonable control.

Use of the Platform is at your own risk.

11. Account Suspension & Termination

The Platform reserves the right to:

  • Suspend accounts for violation of these Terms.

  • Terminate accounts for fraudulent, abusive, or illegal activity.

  • Remove any content deemed inappropriate.

Restaurants may cancel subscriptions subject to the agreed billing terms.

12. Data Protection & Confidentiality

  • Business information will be handled in accordance with the Platform’s Privacy Policy.

  • Restaurants agree not to misuse confidential buyer information obtained through the Platform.

13. Amendments

The Platform may update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by the laws of the Kingdom of Bahrain.

Any disputes shall be subject to the jurisdiction of Bahrain courts.
