FOODIEHUB – SUPPLIER TERMS & CONDITIONS

1. Acceptance

These Terms govern the use of FoodieHub by registered suppliers, distributors, wholesalers and manufacturers (“Supplier”).

By registering, accepting these Terms or using the Platform, the Supplier agrees to be bound by them.

2. Registration & Account

The Supplier must provide accurate business information, maintain a valid Commercial Registration and hold all licences or approvals required for the products it supplies.

The Supplier is responsible for its account, login credentials and actions performed by its authorized users.

FoodieHub may verify Supplier information and suspend accounts containing false or misleading information.

3. FoodieHub’s Role

FoodieHub provides a B2B marketplace connecting Suppliers with Restaurants and other approved Buyers.

FoodieHub does not purchase, own, manufacture, store or deliver Supplier goods.

The underlying sale is directly between the Supplier and Restaurant.

4. RFQs & Quotations

Suppliers may receive RFQs through FoodieHub.

Receiving an RFQ does not guarantee an order.

The Supplier must review the RFQ before submitting a quotation and must provide accurate information concerning:

Price and VAT. 

Product/specification. 

Availability. 

Delivery terms. 

Payment terms. 

Other applicable commercial conditions. 

A submitted quotation constitutes the Supplier’s commercial offer.

The Supplier may modify or withdraw its quotation only while permitted by the Platform and before the RFQ Closing Date & Time.

After closing, the quotation becomes view-only unless otherwise permitted through the approved process.

5. Purchase Orders & Fulfilment

When selected, the Supplier may receive a Purchase Order from the Restaurant.

The Supplier must review the PO and promptly notify the Restaurant of any issue.

By accepting or fulfilling the PO, the Supplier agrees to supply according to the confirmed products, quantities, prices and commercial terms.

6. Product Quality & Compliance

The Supplier is solely responsible for ensuring that supplied products:

Match the agreed specifications. 

Are lawful and safe to sell. 

Meet applicable food safety and regulatory requirements. 

Meet applicable storage, labelling and expiry requirements. 

Have any required certificates, approvals or licences. 

FoodieHub does not inspect or guarantee Supplier products.

7. Delivery

The Supplier is responsible for delivery according to the confirmed PO and agreed delivery conditions.

Delays, shortages, substitutions or inability to fulfil must be communicated to the Restaurant through the Platform using the available order-related communication functions.

8. Payments Between Restaurant and Supplier – Important

All payments for goods or services supplied under a Purchase Order are made directly between the Supplier and Restaurant according to the payment terms agreed between them.

FoodieHub does not collect, hold, process, guarantee, insure or assume responsibility for these payments.

FoodieHub is not responsible for:

Late payment. 

Non-payment. 

Bounced payments. 

Buyer credit default. 

Debt collection. 

Payment or financial disputes. 

The Supplier is solely responsible for deciding the credit/payment terms it offers, issuing invoices, collecting amounts due and taking any recovery action directly against the Restaurant.

FoodieHub’s provision of Platform records or assistance with communication does not make FoodieHub responsible for payment.

9. Invoices, VAT & Taxes

The Supplier is responsible for issuing valid invoices or tax invoices where required and for applying the correct VAT treatment.

The Supplier remains responsible for its own accounting, VAT, tax and regulatory obligations.

10. FoodieHub Fees / Commission

Where a FoodieHub commission or other Supplier fee applies, its rate, calculation basis and payment terms must be communicated to and accepted by the Supplier before the fee applies. The Supplier agrees to pay the applicable fee according to those agreed terms.

FoodieHub fees are separate from payments between the Supplier and Restaurant.

11. Platform Transactions and No Circumvention

All RFQs, quotations, Purchase Orders, order-related communications, delivery updates and transaction records arising through FoodieHub must be managed and recorded through the FoodieHub Platform using the available functions. Invoices and receipts must be uploaded or recorded through the Platform where the relevant function is available.

Suppliers must not move, negotiate, document or complete a FoodieHub-originated transaction outside the Platform in order to bypass FoodieHub or avoid any applicable commission or fee.

Payment for goods is made directly by the Restaurant to the Supplier outside the Platform through their agreed payment method. Payment status and proof of payment must be recorded through FoodieHub where the relevant function is available.

The Supplier must not encourage Restaurants to conduct FoodieHub-originated business outside the Platform.

12. Confidentiality & Acceptable Use

The Supplier must keep non-public RFQ, Restaurant, pricing and purchasing information confidential.

The Supplier must not manipulate bidding, collude with other Suppliers, provide false quotations, sell illegal or counterfeit goods, misuse Restaurant information or interfere with Platform security.

13. Suspension & Termination

FoodieHub may suspend or terminate a Supplier account for fraud, serious or repeated complaints, unsafe or illegal products, unpaid FoodieHub fees, misuse of customer information, bidding manipulation, security risks or material breach of these Terms.

Existing financial obligations remain payable after suspension or termination.

14. Platform Availability & Liability

FoodieHub does not guarantee any minimum number of RFQs, orders, sales, quotation wins or Restaurant payments.

To the maximum extent permitted by applicable law, FoodieHub is not liable for indirect losses, lost profits or losses resulting from commercial disputes between Supplier and Restaurant.

15. Privacy & Electronic Acceptance

Information will be handled according to FoodieHub’s Privacy Policy and applicable data protection requirements.

Electronic acceptance of these Terms may be recorded by FoodieHub.

16. Governing Law

These Terms are governed by the laws of the Kingdom of Bahrain, and disputes relating to use of FoodieHub shall be subject to the competent courts of Bahrain.
